In Saudi Arabia a wakala puts the agent in the principal’s place, and the law does not name a separate contract called tafweed.[1] In Oman a permission or an order is treated as agency when the context shows it.[2] In the UAE an agency may be general, special, conditional or deferred, under Federal Decree-Law No. 25 of 2025, in force on 1 June 2026.[3] Banks, telecoms and ministries often require their own form. Do not copy third-party forms.

An authorization letter in Arabic and English: a company authorizing a person to represent it, one person authorizing another, or a letter to collect or receive. It is not the power of attorney template. For the definitions, see power of attorney, notary public and commercial registration. Banks, telecoms and ministries often require their own form. This page does not reproduce third-party forms. This is a starting point. Have it reviewed by a lawyer licensed in the relevant jurisdiction before you use it.

What an authorization is, and how it differs from a wakala

In this template an authorization (تفويض) names the authorizing party, the authorized person, the scope and the duration. A wakala is a contract that puts the agent in the principal’s place.[1] In Oman a permission or an order is treated as agency when the context shows it.[2] In the UAE an agency may be general, special, conditional or deferred.[3] Saudi civil law has no separate contract called tafweed. If the letter is characterised as agency, the wakala rules are the reference.

  • Keep one form: company to person, person to person, or collection. Delete the rest.
  • Write the commercial registration or ID, the authorized person’s ID, the scope, the duration, revocation, and the signature and stamp.
  • If the body requires an issued power of attorney, use the power of attorney template and then Najiz or a notary.[4]
  • This page owns “تفويض”. “نموذج وكالة” stays on the power of attorney page.

When the recipient will require a notarised wakala

If the body asks for a notarised power of attorney, or for one issued on Najiz, this letter does not replace it.[4][5] In Saudi Arabia an act beyond administration needs a special agency, and an agency in general terms that does not specify the type of act is not valid.[1]

  • Representing the company on a court registry or in a hearing: start from a power of attorney that includes the pleading power if the platform requires it.
  • A bank, a telecom or a ministry: use that body’s own form. Do not copy its logo or its fields into this file.
  • Later ratification of an act already done counts, in Saudi Arabia, as a prior agency.[1] That does not turn an unnotarised letter into an issued power of attorney.

Template text

Authorization letter

A letter authorizing a person to represent a company, a letter from one person to another, or a letter to collect or receive money or a document, in the GCC. Replace every [phrase in brackets] and delete the form that does not apply. This letter is not a power of attorney issued on Najiz and not an instrument notarised before a notary. This is a starting point. Have it reviewed by a lawyer licensed in the relevant jurisdiction before you use it.

Clause 1. Authorizing party

I, [name], [commercial registration no. ● / ID no. ●], of [address] (the “Authorizing Party”). Capacity: [authorised signatory / manager / in person].

›Drafting note

Use the name as it stands in the commercial registration or on the ID, not the short trading name.

Clause 2. Authorized person

I authorize [name], ID no. [●], nationality [●], mobile [●] (the “Authorized Person”) to do what follows, within the written duration and scope, and not beyond them.

›Drafting note

The authorized person’s full ID. A letter without an ID is refused by most counters.

Clause 3. Company to person: representing the company

Delete this clause if the Authorizing Party is not a company. The company authorizes the Authorized Person to represent it before [the government body / the bank / the court registry]: [name of the body], in the matter of [●] only. That includes lodging documents, receiving notices and signing [●]. It does not include a waiver, an acknowledgement of a right, a settlement or arbitration unless this clause says so in terms: [delete if not wanted].

›Drafting note

In Saudi Arabia an act beyond administration needs a special agency, and general words that do not specify the type of act are not a valid agency.[1] Name the act. If the body requires an issued power of attorney, this form is not enough.[4]

Clause 4. Person to person

Delete this clause if the Authorizing Party is a company. I authorize the Authorized Person, in my personal capacity, to [the named act] before [the body], and not beyond [●].

›Drafting note

One written act is stronger than “in all my affairs”. In Saudi Arabia general words that do not specify the type of act are not a valid agency.[1]

Clause 5. Collection or receipt

Delete this clause if the purpose is not collection. I authorize the Authorized Person to receive [the sum / the cheque / the document / the goods], being [●], from [the delivering party], and to sign the receipt. The Authorized Person may not pay the sum into an account other than [●] if an account is named.

›Drafting note

Name what is received and who delivers it. Collecting cheques, or attending a named office, may require that office’s own form. Do not copy that form.

Clause 6. Duration and revocation

  • (1) This authorization starts on [date] and ends on [date], unless revoked earlier.
  • (2) Revocation is by a writing to the Authorized Person and to the body, and takes effect when the body is notified, not on the date of the writing alone.
  • (3) Expiry or revocation does not undo an act done within scope before the body was notified.
›Drafting note

Write the end date. The texts reviewed here do not set a statutory end date for an unnotarised letter that states none, so a missing date is under review with a lawyer. In Saudi Arabia the limit on general words is a limit on scope, not on the calendar.[1]

Clause 7. Signature and stamp

Authorizing Party: name [●] · capacity [●] · signature [●] · date [●] · stamp [if any]

Acknowledged by the Authorized Person: name [●] · signature [●] · date [●]

›Drafting note

The company stamp where that counter usually asks for it. A signature alone may not satisfy that counter. The letter is still not notarised.

Notes on Saudi Arabia

The law does not name a contract called tafweed. If the letter is characterised as agency, the following rules are the reference, and the power issued on Najiz is the one the bodies that require it will accept.[1][4]

FAQ

Frequently asked questions

Is an authorization the same as a power of attorney?

No. A power of attorney may have to be notarised or issued on Najiz.[4] This authorization is a letter with a scope and a duration. If the recipient rejects it, use the power of attorney template. Saudi law has no separate tafweed contract; the facts are read against the wakala rules.[1]

Does an authorization expire?

Write a duration, and a revocation date. The texts reviewed here do not set a statutory end date for an unnotarised letter. In Saudi Arabia an agency that does not specify the type of act is not valid: that is a limit on scope, not on the calendar.[1] Anything further is under review with a lawyer in the relevant country.

Do I need a lawyer?

Yes, before you sign. Have the final text reviewed by a lawyer licensed in your jurisdiction.
