Cooperation agreement (Word & PDF)

Cooperation agreement in Arabic: اتفاقية تعاون — a limited joint-work contract. Not a company, not a partnership profit-share, and not a memorandum of understanding that only records intent.

Need an MoU, a partnership, or an investment?

If the paper only records intent before a contract, use the memorandum of understanding. If the point is contributions, profit share and exit, use the partnership agreement. Capital against an ownership percentage is the investment agreement. A company is the memorandum of association or the articles of association.

When a cooperation agreement is the right draft

Use this page for a limited piece of joint work between two existing parties. Write the scope, who does what, who pays, and the term. If the text is intent before a contract, with no duty to perform, use the memorandum of understanding and mark what is meant to bind. If the point is to share profit, use the partnership agreement.

  • Fill in the [placeholders]: parties, scope, each party’s tasks, costs, term.
  • Write that neither party signs for the other except under a separate written authorization.
  • Out of scope: incorporation, a profit-share partnership, a hire, and an MoU that only records intent.

Formation: Articles 31, 42 and 43

In Saudi Arabia a contract comes into being when offer and acceptance join to produce a legal effect (Article 31). If the parties agree the essential terms and agree to postpone the non-essential ones, that is enough, unless they tied formation to a later agreement on those terms (Article 42). A promise to conclude a contract in the future binds only if the essential terms of the intended contract and the period for concluding it are set (Article 43).[4][1] A paper that states the essential terms and does not say it is non-binding can be held to be a contract, whether it is headed “cooperation agreement” or “memorandum”. UAE formation articles under Federal Decree-Law No. 25 of 2025 are under review. No article number is stated.[2][3]

  • It does not incorporate a company. Use the memorandum of association or the articles of association and commercial registration.[7][8]
  • It is not a partnership profit-share unless the paper meets Articles 31 and 42 and records contributions, profit and exit.
  • Personal data, if any is shared, follows the Saudi PDPL or the UAE PDPL. This agreement does not restate those laws.[5][6]

FAQ

Frequently asked questions

What is a cooperation agreement in Arabic?

اتفاقية تعاون. No statute uses that name. Formation follows Articles 31, 42 and 43 of the Civil Transactions Law.

Does a cooperation agreement create a company?

No. Incorporation is under the companies law and registration in the commercial register.[7][8] Use the memorandum of association or the articles of association.

How is this different from an MoU?

An MoU records intent before a contract and marks which clauses bind. A cooperation agreement is written as a limited joint-work contract. If the paper has the essential terms and does not say it is non-binding, it can be held to be a contract (Articles 31 and 42). Use the memorandum of understanding when the point is intent only.

How is this different from a partnership agreement?

A partnership records contributions, profit share, management and exit. Do not split profit here unless that is the point; then use the partnership agreement.

Do UAE formation articles apply?

Federal Decree-Law No. 25 of 2025 is in force on 1 June 2026. Its formation articles are under review. No article number is stated.[2]

Do I need a lawyer?

Yes, before you sign. Have the final text reviewed by a lawyer licensed in your jurisdiction.
