What this template includes
For movable goods only
A free bilingual sale agreement for movable goods between two parties in Saudi Arabia, the UAE and the wider GCC. It covers the price, delivery, risk, ownership and a warranty. It is not a form for real estate, a vehicle, shares, or anything else that must be registered to pass. Repeat supply against purchase orders is the supply agreement.
What this template covers
Use it for goods the buyer can identify from the description: equipment, stock, or other movables. Fill in Annex 1, the price and when it is paid, the place and date of delivery, and when ownership and risk pass.
- In Saudi Arabia the object sold must be known to the buyer, and the price is payable immediately unless you agree a deferral.[1]
- Real estate is registered in the Saudi real-estate register, and in Dubai under the real-property registration law. Don’t use this template for it.[3][4]
- In the UAE, read the notes under the Civil Transactions Law (Federal Decree-Law No. 25 of 2025, in force on 1 June 2026). They don’t cite article numbers.[5]
The template
Sale agreement for movable goods
A GCC-wide sale of movable goods between two parties, business or individual. Not for real estate, vehicles, shares or any asset whose transfer must be registered. Replace every [placeholder] and delete the options that don’t apply.
This agreement is made on [date] at [city] between [Seller name], ID/commercial registration [●], address [●] (the “Seller”) and [Buyer name], ID/commercial registration [●], address [●] (the “Buyer”).
[Description, specifications, quantity, serial numbers], as listed in Annex 1.
Drafting note
In Saudi Arabia the object sold must be known to the buyer (Civil Transactions Law, Art. 308). Describe the goods precisely: kind, quantity, specifications and serial numbers.[1]
The price is [amount, currency], [inclusive/exclusive] of VAT. Payment: [in full on signing / instalments of ● on ●].
Drafting note
In Saudi Arabia the price is payable immediately unless a deferral is agreed (Art. 317).[1] Don’t state a VAT rate in the template; use the rate in force on the invoice.
The Seller delivers the goods at [place] on [date]. Risk passes to the Buyer on [delivery / ●].
Drafting note
Say when risk passes. The default rules differ by country, so don’t leave this blank.
Ownership passes on [delivery / full payment]. The Seller warrants that it owns the goods and that they are free of third-party rights.
Drafting note
In Saudi Arabia, a sale of another person’s property is dealt with by Art. 359 of the Civil Transactions Law.[1] The Seller should be the owner, or disclose the authority to sell.
The Buyer inspects the goods within [●] days of delivery and notifies the Seller of defects in writing within that period.
The Seller warrants the goods against defects in materials and workmanship for [●] months from delivery, without prejudice to any rights the applicable law gives the Buyer.
Option: the party in delay pays [●] per [day/week] of delay, capped at [●].
Drafting note
See penalty clause in the glossary. Take advice before agreeing a sum: this template does not state whether a court can adjust it. In the UAE, do not cite article numbers from Federal Decree-Law No. 25 of 2025.[5]
Neither party is liable for a delay or failure caused by an event beyond its reasonable control, if it notifies the other in writing as soon as it reasonably can and uses reasonable efforts to limit the effect. The parties then agree in writing how the contract continues: [●].
Drafting note
See force majeure in the glossary. Say what happens to delivery dates if the event lasts.
This agreement is governed by the laws of [country]. Disputes go to [the courts of ● / arbitration under ●].
Drafting note
Name the forum. For arbitration, see arbitration.
